Regarding deliverables and work products:

• Custom-developed solutions and deliverables created specifically for a client will be owned by the client upon full payment, unless otherwise specified in the service agreement
• Pre-existing intellectual property, tools, methodologies, and frameworks owned by CleanASW remain our property
• We retain the right to use general knowledge, skills, and experience gained during service delivery

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the course of our business relationship. This obligation includes:

• Not disclosing confidential information to third parties without prior written consent
• Using confidential information only for the purposes of the service engagement
• Taking reasonable measures to protect confidential information
• Returning or destroying confidential information upon request or termination of services

7. Payment Terms

Payment terms for services will be specified in the applicable service agreement. General payment provisions include:

• Invoices are payable within 30 days of the invoice date unless otherwise agreed
• Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law
• CleanASW reserves the right to suspend services for non-payment
• All fees are exclusive of applicable taxes, which are the responsibility of the client
• Expenses incurred in connection with services will be billed separately with appropriate documentation

8. Warranties and Disclaimers

CleanASW warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Our website and information are provided on an as-is and as-available basis
• We do not warrant that our website will be uninterrupted, error-free, or secure
• We make no warranties regarding the accuracy, reliability, or completeness of website content
• To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• CleanASW shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from services shall not exceed the fees paid by the client for the specific services giving rise to the claim
• We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control
• Clients are responsible for maintaining backups of their data and systems

10. Indemnification

You agree to indemnify, defend, and hold harmless CleanASW, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms of Service
• Your violation of any rights of another party
• Your use of our services in a manner not authorized by these terms
• Your provision of inaccurate or misleading information

11. Term and Termination

These Terms of Service remain in effect while you use our website or services. Either party may terminate a service engagement as specified in the applicable service agreement. Upon termination:

• All outstanding fees become immediately due and payable
• Each party must return or destroy confidential information of the other party
• Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination
• CleanASW will provide reasonable transition assistance as specified in the service agreement

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website with an updated effective date. Your continued use of our website or services after such changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically.

13. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation, if negotiations are unsuccessful
